Why established investors buy technology startups

Established businesses and investors buy technology startups for three reasons: to acquire a capability faster than they could build it, to reach a customer base they do not have, or to remove a competitor. Understanding which of the three applies tells a founder what the buyer actually values, and therefore what to prepare.

Very few acquisitions are about the software on its own.

What is actually being bought

Usually the team and what they know, followed by customer relationships and recurring revenue. Code is the easiest part to replicate and is rarely the reason for a deal.

That is why retention terms for founders and key staff appear in almost every agreement, and why a business entirely dependent on one person is harder to sell rather than easier.

What makes a startup acquirable

Clean ownership records with a proper securities register, intellectual property actually owned by the company rather than by contractors personally, contracts in the company name, and financial records that survive scrutiny.

Registration and current annual returns with the Companies and Intellectual Property Commission are the baseline, and deals are routinely delayed by paperwork that could have been in order years earlier.

Understand the structure, not just the number

Purchase price is often split between cash at closing and amounts payable later against performance. Restraint of trade limits what you may do afterwards, and lock-in periods commit you to staying.

A high headline figure with a long earn-out and tight restraints can be worth considerably less than a lower, cleaner offer.

For everyone else, it is a market signal

Acquisitions tell you where capital believes growth is, and which problems larger companies would rather buy than build. That is useful intelligence whether or not you intend to sell.

It also means adjacent opportunities: acquirers usually need suppliers, integrators and service providers around the capability they just bought.

Frequently asked questions

What do acquirers actually buy?

The team and its knowledge, customer relationships and recurring revenue. Code is the easiest element to replicate and rarely the reason.

What makes a startup easier to acquire?

Clean ownership records, intellectual property owned by the company, contracts in the company name, and financial records that withstand scrutiny.

Why do founders get locked in?

Because much of the value is the team. Retention terms and earn-outs tie payment to the people staying and the business performing.

Is the highest offer the best one?

Not necessarily. A large headline price with a long earn-out and restrictive restraint can be worth less than a smaller, cleaner deal.

What can other businesses learn from acquisitions?

Where capital thinks growth is, and which capabilities large companies prefer to buy rather than build.
